Partnership & Joint Venture Disputes

At Campbell Harrison & Dagley L.L.P., we have substantial experience representing parties involved in business disputes arising out of the formation and operation of general and limited partnerships and joint ventures. These cases often involve claims and counterclaims between the owners based on oral or written partnership agreements, and claims for breach of fiduciary duty, usurpation of partnership opportunities, and fraud. We have successfully represented individuals and companies in a wide array of partnership and joint venture cases.

Examples of these cases that we have handled for our clients include:

  • Successful defense and recovery on counterclaims in a partnership dispute involving claims for conversion of partnership assets, capital contribution deficiencies, disputed ownership of partners’ separate assets, and defamation of one partner by the other in an oilfield equipment leasing venture.

  • Successful arbitration defense of the general partner of a limited partnership organized to develop and operate acute healthcare facilities against claims by limited partners for alleged mismanagement of the facilities and reinvestment, rather than distribution, of partnership profits.

  • Representation of the developers of a California oil and gas prospect in a lawsuit against their joint-venture partner for misappropriation of the prospect idea and self-dealing in the marketing of the prospect. A confidential settlement of the claims was reached during the trial of the case.

  • Representation post-trial and on appeal of general partner in limited partnership for real estate development. Limited partners and their principals asserted numerous claims against general partner, including breach of fiduciary duty and conspiracy, and obtained a multimillion dollar jury verdict. Post-trial and on appeal, all claims against our client were reversed and dismissed.

  • Representation of partners in a professional partnership, leading to a confidential settlement of claims against former partners and their new partnership for breach of fiduciary duty and fraud, including usurpation of partnership opportunities.
